Terms of Service
Last Updated: January 2026. Please read these terms carefully before commissioning custom website, software, or mobile app engineering with Infinitix Infotech.
1. Agreement to Terms
By accessing our website (infinitixinfotech.in) or contracting Infinitix Infotech for software development, mobile apps, websites, POS billing software, or digital marketing services, you agree to be bound by these Terms and Conditions and our project-specific Scope of Work (SOW) agreements.
2. Project Scope & Milestones
Every project commences upon formal approval of a written Statement of Work (SOW) detailing feature specifications, milestone deliverables, and payment schedules. Any feature additions, structural changes, or third-party API integrations requested outside the agreed SOW will be scoped separately as change requests.
3. Intellectual Property & Code Ownership
Upon receipt of final milestone payment in full, 100% intellectual property ownership of the custom code, designs, database schemas, and media assets developed specifically for the client is transferred to the client. Infinitix Infotech retains ownership of its proprietary core libraries, reusable framework engines, and boilerplate architectures utilized across general projects.
4. Client Responsibilities
Clients agree to provide timely feedback, brand assets, product catalog data, third-party API keys (payment gateways, SMS/WhatsApp gateways, cloud credentials), and written approvals necessary for milestone sign-offs. Delays in client feedback automatically extend projected delivery timelines.
5. Payment Schedules & Invoicing
Standard commercial projects require an upfront milestone advance (typically 30% to 50%) to initiate sprint planning and UX design, with subsequent milestone disbursements tied directly to measurable staging demos and final production deployment. Invoices are subject to applicable GST regulations in India.
6. Post-Launch Warranty & Maintenance
All custom web and software applications developed by Infinitix Infotech include a complimentary 30-day post-launch bug-fix warranty covering discrepancies against the original specification sheet. Extended technical support, server monitoring, security patching, and ongoing feature rollouts are managed via dedicated monthly Annual Maintenance Contracts (AMC).
7. Limitation of Liability
Infinitix Infotech shall not be liable for indirect, incidental, or consequential damages resulting from third-party server outages, telecommunication failures, external API downtime (such as payment gateways or cloud hosts), or unauthorized client modifications to codebase files after final handover.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal disputes arising out of contracts with Infinitix Infotech shall fall under the exclusive jurisdiction of the competent courts in Nadia / Kolkata, West Bengal.
